YachtWyse Terms of Service: Platform Agreement

Welcome to YachtWyse. These Terms of Service ("Terms") govern your access to and use of the YachtWyse platform, including our website, mobile applications, and related services (collectively, the "Service"), operated by On10 Solutions ("we," "our," or "us").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Description of Service

YachtWyse provides a comprehensive yacht and charter management platform designed for owner-operators, charter operators, fleet managers, and enterprise clients managing vessels of all sizes. Our services include:

• Maintenance tracking and scheduling
• Expense management and cost analytics
• AI-powered diagnostic assistance
• Document and certification management
• Charter booking and guest management
• Guest portals and itinerary sharing
• Fleet dashboard and multi-vessel operations
• Inventory tracking
• Trip logging and fuel tracking

2. Account Registration

To use certain features of our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use our Service.

3. Subscription and Payment

Some features of our Service require a paid subscription. By subscribing, you agree to:

By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely for the purpose of providing and improving our Service.

You are solely responsible for your User Content and represent that you have the right to submit it. We may remove User Content that violates these Terms or is otherwise objectionable.

6. AI Diagnostic Disclaimer

Our AI-powered diagnostic features are designed to assist with identifying potential issues and suggesting maintenance actions. However:

• AI recommendations are not a substitute for professional marine surveyor or mechanic advice
• You should always consult qualified professionals for critical repairs and safety concerns
• We do not guarantee the accuracy or completeness of AI-generated suggestions
• You assume full responsibility for decisions based on AI recommendations

7. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by On10 Solutions and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our express written permission.

"YachtWyse" and our logo are trademarks of On10 Solutions. You may not use our trademarks without our prior written consent.

8. Third-Party Services

Our Service may integrate with or link to third-party services, including payment processors, service providers, and marina databases. We are not responsible for the content, privacy practices, or actions of these third parties. Your use of third-party services is at your own risk and subject to their respective terms and policies.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, completeness, or reliability of any content or information provided through the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ON10 SOLUTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless On10 Solutions and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Hillsborough County, Florida.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and On10 Solutions regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
